  • Canopy builds and hosts your business website, runs your online booking, and processes payments through Stripe.
  • You keep ownership of your own business and customer data. Card numbers are handled by Stripe and never stored by Canopy.
  • You're responsible for the content and services you offer, for following the law, and for your own customers' data.
  • You can cancel any time. Some payment records must be kept for tax law even after deletion, in anonymized form.
  • This is the short version. The full terms below are what legally applies.

These Terms describe Canopy's three-tier model: a free account (sign up and use the dashboard at no charge), a one-time website build (a paid, done-for-you build with your own custom domain), and Canopy Pro (an optional monthly subscription that unlocks online payments, SMS notifications, and additional locations). Specific dollar amounts for the build fee and Canopy Pro are quoted to you directly (on your call and at checkout) and are intentionally not stated in this document.


1. Parties and Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Business Owner," "you," or "your") and Canopy ("Canopy," "we," "us," or "our"), governing your access to and use of the Canopy platform, including our website, admin dashboard, booking system, payment processing integration, and any related services (collectively, the "Platform").

By creating an account, purchasing a website build, subscribing to Canopy Pro, or using any part of the Platform, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Platform.

You must be at least 18 years old and legally authorized to enter into contracts on behalf of your business to use the Platform.


2. Description of Services

Canopy provides its services across three tiers. Which services are available to you depends on your tier, as described in Section 3.

2.1 Free Account (Dashboard and Setup) Creating an account is free and requires no payment or credit card. A free account gives you access to the admin dashboard and setup wizard, where you can configure your business — services, staff, locations, hours, and branding — and preview how your site would look. A free account does not include a built, published website; publishing a live site requires a website build (Section 2.2). Free accounts may configure up to two locations and do not include online payment collection or SMS notifications.

2.2 Custom Website Build (One-Time) For a one-time build fee, we design and develop a custom website for your business based on information gathered during a scoping call, publish it, and enable real online booking. The site is hosted on our platform and is reachable at a Canopy subdomain (yourbusiness.getcanopy.run). A built site with real bookings does not carry a recurring platform fee on its own; recurring fees apply only if you subscribe to Canopy Pro (Section 2.7).

2.3 Custom Domain (Bring-Your-Own) As part of a website build, you may connect a domain you already own so your site is reachable at your own web address. You register and pay for the domain yourself with your own registrar; Canopy connects it and guides you through the DNS records to add. Canopy does not register, sell, or pay for domains on your behalf. Your free yourbusiness.getcanopy.run subdomain remains available regardless.

2.4 Online Booking System An integrated booking system embedded in your published website, allowing your end customers to schedule and confirm appointments. Configuration parameters (services, staff, time slots, cancellation windows, no-show fees) are set during onboarding and adjustable via your admin dashboard.

2.5 Payment Processing (Canopy Pro) Online card payment collection from your end customers is a Canopy Pro feature. When enabled, Canopy integrates with Stripe to facilitate card holds at booking, post-service charges, tip collection, and no-show fee enforcement. You must complete Stripe Connect onboarding before online payment collection is enabled. On the free and built tiers, your end customers pay you directly at your business ("pay at the shop"); no online card payment step is offered.

2.6 SMS Notifications (Canopy Pro) Automated SMS messages sent to your end customers — booking confirmations, reminders, cancellation confirmations, and related notices, powered by Twilio — are a Canopy Pro feature. On the free and built tiers, no SMS messages are sent to your end customers on your behalf.

2.7 Canopy Pro (Optional Monthly Subscription) Canopy Pro is an optional monthly subscription, available after your website build is purchased, that unlocks: online card payments (Section 2.5), automatic SMS notifications (Section 2.6), and more than two locations. Canopy Pro is the only recurring charge Canopy offers.

2.8 Admin Dashboard A web-based dashboard, providing a calendar view of bookings, account management, and — where applicable to your tier — payment activity and financial reporting (via Stripe Embedded Components).

2.9 Website Changes After your site is built, you may request content changes to your website. The mechanism and turnaround for changes are described to you during onboarding.


3. Fees and Payment

3.1 Free Account Signing up for and using a Canopy account, including the admin dashboard and setup wizard, is free. No payment method or credit card is required to create or keep a free account. Nothing is charged at signup.

3.2 One-Time Website Build Fee Publishing a live, built website (Section 2.2) requires a one-time build fee. The amount is quoted to you directly — on your scoping call and at checkout — and is not stated in this document. The build fee is a one-time charge and is not a subscription. Founding customers may receive special terms, which are disclosed to you before you pay.

3.3 Canopy Pro Subscription Fee Canopy Pro (Section 2.7) is billed as a recurring monthly subscription. The Canopy Pro price is disclosed to you before you subscribe and at checkout, and is not stated in this document. Canopy Pro is optional and is offered only after a website build has been purchased. Pricing is subject to change with 30 days' written notice to your registered email address.

3.4 Billing and Processing All build-fee and subscription payments are processed by Stripe. For Canopy Pro, your subscription is billed monthly on the anniversary of your subscription start date, and you authorize us to charge your designated payment method on each billing date.

3.5 Payment Failure (Canopy Pro) If your payment method fails, we will attempt to collect payment again in accordance with Stripe's retry schedule. After repeated failed attempts, your Canopy Pro subscription may be suspended or cancelled, and the Canopy Pro features (online payments, SMS, additional locations) will be disabled. Your built website and free dashboard remain available. You remain responsible for all outstanding amounts.

3.6 No Refunds Except where required by applicable law, the one-time build fee and Canopy Pro subscription fees are non-refundable. Partial-month refunds of Canopy Pro are not provided upon cancellation.

3.7 Taxes You are responsible for all applicable taxes, levies, or duties imposed by taxing authorities on the build fee or your Canopy Pro subscription. Where required, we will add applicable taxes to your invoice.


4. Cancellation and Termination

4.1 Free Account A free account carries no subscription and no charge, so there is nothing to cancel. You may ask us to close your free account at any time by contacting us, with no penalty.

4.2 Website Build The website build is a one-time purchase, not a subscription, so there is no build subscription to cancel. Once built and published, your website remains live and your dashboard accessible; it is not turned off for non-payment of any recurring fee (there is none for the build itself).

4.3 Canceling Canopy Pro You may cancel Canopy Pro at any time. Cancellation takes effect at the end of your current paid billing period, and you retain Canopy Pro features until that date. After the period ends, the Canopy Pro features (online card payments, automatic SMS, and more than two locations) are disabled, but:

  • Your built website stays live and continues to accept bookings
  • Your custom domain keeps working (the domain is yours)
  • Your admin dashboard remains accessible
  • Your data (bookings, customers, payment history) is retained; canceling Canopy Pro does not delete your data

In short, canceling Canopy Pro reverts the premium features gracefully without destroying your site, your domain, or your data.

4.4 Reactivating Canopy Pro You may re-subscribe to Canopy Pro at any time by logging in and re-enabling it. Upon reactivation, the premium features are restored, including access to your retained data.

4.5 Termination by Canopy We reserve the right to suspend or terminate your account or your Canopy Pro subscription immediately if you:

  • Violate these Terms
  • Use the Platform for any illegal or fraudulent purpose
  • Fail to pay amounts owed after reasonable notice
  • Engage in conduct that harms other users, end customers, or the Platform

Upon termination by Canopy for cause, no refund of prepaid fees (build fee or Canopy Pro) will be provided.

4.6 Effect on Stripe Connect Cancellation or termination of your Canopy Pro subscription does not automatically close your Stripe Connect account. Your Stripe account and any pending payouts remain governed by Stripe's terms and will be settled according to Stripe's standard payout schedule.


5. Stripe Connect and Payment Processing

5.1 Stripe as Payment Processor All payment processing (card holds, charges, refunds, payouts) is performed by Stripe, Inc. ("Stripe"). By using payment features on the Platform, you agree to Stripe's Connected Account Agreement and Stripe's Services Agreement, available at stripe.com/legal.

5.2 Stripe Connect Onboarding To accept payments through your client website, you must complete Stripe's identity verification and bank account linking process during onboarding. Canopy facilitates this via an embedded Stripe form. Canopy does not store, view, or have access to your bank account details, SSN, EIN, or identity documents — these are collected and held solely by Stripe.

5.3 Platform Fee Canopy does not currently charge a per-transaction platform fee on end-customer payments. This may change in the future with 30 days' notice.

5.4 Stripe Fees Standard Stripe processing fees apply to each end-customer card transaction. These fees are deducted by Stripe before funds are transferred to your connected bank account. You are responsible for understanding and accepting Stripe's fee schedule.

5.5 Disputes and Chargebacks You are solely responsible for resolving disputes and chargebacks initiated by your end customers. Canopy will provide access to Stripe's dispute management tools via the admin dashboard but bears no liability for chargeback outcomes or associated Stripe fees.

5.6 Payout Schedule Payouts to your bank account are governed by Stripe's payout schedule and your account standing with Stripe. Canopy has no control over payout timing or amounts, which are determined entirely by Stripe.

5.7 Stripe Account Restrictions If Stripe restricts, suspends, or closes your connected account for any reason, Canopy has no ability to intervene, reverse, or circumvent Stripe's decisions. You must resolve any Stripe account issues directly with Stripe.


6. Business Owner Responsibilities

6.1 Accurate Information You are responsible for providing accurate business information during onboarding (name, address, hours, services, pricing). Misleading or false information may result in account suspension.

6.2 End Customer Relationships You are solely responsible for the services you provide to your end customers, including service quality, refund decisions, cancellation policy enforcement, and compliance with local consumer protection laws.

6.3 No-Show and Cancellation Fees Any no-show fees or cancellation fees charged to your end customers are your fees, not Canopy's. You are responsible for clearly communicating your no-show and cancellation policies to your customers. Canopy's system enforces the parameters you set during configuration.

6.4 Customer SMS Consent You represent that your end customers have consented to receive SMS notifications as required by applicable law (including TCPA). The booking flow on your client website includes appropriate consent language, but you remain responsible for ensuring compliance with applicable SMS regulations in your jurisdiction.

6.5 Taxes on Customer Payments You are responsible for collecting, reporting, and remitting all applicable taxes on payments received from your end customers. The tax rate entered during onboarding is applied by the system, but accuracy is your responsibility.

6.6 Account Security You are responsible for maintaining the security of your admin dashboard credentials. Notify us immediately at support@getcanopy.run if you suspect unauthorized access to your account.

6.7 Lawful Use You agree to use the Platform only for lawful purposes and in compliance with all applicable local, state, and federal laws.


7. Website Build and Intellectual Property

7.1 Custom Build We will design and develop a custom website for your business. The website is built using assets you provide (photos, logo, branding) and publicly available information (Google reviews, business description).

7.2 Your Content You retain all ownership of content you provide to us (your business name, photos, logo, service descriptions, pricing). You grant Canopy a limited license to use this content solely to build, host, and maintain your website.

7.3 Platform Infrastructure The underlying platform, codebase, design system, booking engine, dashboard, and all Canopy-developed software remain the exclusive property of Canopy. Your use of the Platform grants you a limited, non-exclusive, non-transferable license to use the Platform for as long as your account is active, subject to these Terms.

7.4 Website Content on Account Closure If your account is closed, Canopy will provide you with an export of your website content (text, images) upon request, submitted within 90 days of closure. We are not obligated to provide source code or design files.

7.5 Google Reviews Display of Google review data on your client website is subject to Google's Terms of Service. We will display reviews using public data and Google's approved display methods. Canopy makes no warranties about review availability or accuracy.


8. Disclaimers and Limitation of Liability

8.1 "As Is" Service The Platform is provided "as is" and "as available." We make no warranty that the Platform will be uninterrupted, error-free, or free of security vulnerabilities.

8.2 Limitation of Liability To the maximum extent permitted by applicable law, Canopy's total liability to you for any claims arising from or related to these Terms or the Platform shall not exceed the total fees paid by you to Canopy (whether the one-time build fee, Canopy Pro subscription fees, or both) in the three (3) months preceding the claim.

8.3 No Liability for Third-Party Services Canopy is not liable for any failures, outages, errors, or decisions made by Stripe, Twilio, Supabase, Vercel, Google, or any other third-party service provider integrated into the Platform.

8.4 No Liability for End-Customer Actions Canopy is not liable for the actions, disputes, or claims of your end customers.

8.5 Exclusion of Consequential Damages In no event shall Canopy be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost revenue, or lost business opportunities.


9. Indemnification

You agree to indemnify, defend, and hold harmless Canopy and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of the Platform in violation of these Terms
  • Your end customers' claims against you
  • Your failure to comply with applicable laws
  • Content you provide to Canopy for use on your website

10. Dispute Resolution

10.1 Informal Resolution Before initiating any formal proceeding, you agree to contact us at support@getcanopy.run and attempt to resolve the dispute informally. We will make good-faith efforts to resolve disputes within 30 days.

10.2 Governing Law These Terms are governed by the laws of [STATE TO BE DETERMINED], without regard to conflict of law principles.

10.3 Jurisdiction Any disputes not resolved informally shall be submitted to binding arbitration in [CITY, STATE TO BE DETERMINED] under the rules of the American Arbitration Association. Class action waiver applies.


11. Changes to Terms

We may update these Terms at any time. If changes are material, we will notify you via email to your registered address at least 30 days before the changes take effect. Continued use of the Platform after the effective date constitutes acceptance of the updated Terms.


12. Miscellaneous

12.1 Entire Agreement These Terms, together with our Privacy Policy, constitute the entire agreement between you and Canopy regarding the Platform.

12.2 Severability If any provision of these Terms is found unenforceable, the remaining provisions continue in full force.

12.3 Waiver Failure by Canopy to enforce any provision of these Terms does not constitute a waiver of that provision.
